Make Spend Grow LLC d/b/a "Plan It Fi" ("Plan It Fi," "Make Spend Grow," "we," "us," or "our") provides educational content and personal finance tools, including a personal financial dashboard, calculators, spreadsheets, templates, and analysis tools (collectively, the "Tools") through planitfi.com and any related pages, features, or services operated by us (collectively, the "Site"). These Terms of Service ("Terms") govern your access to and use of the Site. 1. Acceptance of Terms By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site. 2. Eligibility You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Site. By using the Site, you represent and warrant that you meet this requirement and that you will comply with all applicable laws. 3. Tool Outputs; Assumptions; Accuracy Tool outputs are based on user-provided inputs and assumptions that may not apply to your situation. We do not guarantee accuracy, completeness, or usefulness of any outputs. Make Spend Grow is not responsible for consequences of decisions or actions taken in reliance on Site content or Tool outputs, including due to human or mechanical errors, interruptions, bugs, omissions, data inaccuracies, or third-party dependencies. 5. Accounts (If Applicable) If the Site allows you to create an account: - You agree to provide accurate information and keep it updated. - You are responsible for maintaining confidentiality of your login credentials and all activity under your account. - You must notify us promptly of any unauthorized use or security breach related to your account. - We may suspend or terminate accounts in accordance with these Terms. 6. License to Use the Site Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site and Tools for your personal, non-commercial use. We may revoke this license at any time. 7. Intellectual Property The Site, Tools, Content, and all related intellectual property (including text, graphics, logos, software, design, and compilation) are owned by or licensed to Make Spend Grow and are protected by intellectual property laws. If you submit suggestions, ideas, or feedback ("Feedback"), you grant us a perpetual, worldwide, irrevocable, royalty-free license to use, reproduce, modify, and exploit such Feedback without compensation. 8. User Content (If You Can Upload/Enter Data) If you input, upload, or store data on the Site ("User Data"): - You represent you have rights to provide it and that it does not violate any law or third-party rights. - You grant us permission to host, process, transmit, and display User Data as needed to operate and improve the Site and provide the Tools. - You understand that Tool results depend on the accuracy/completeness of User Data. - No sensitive information. Do not upload or submit highly sensitive personal data unless the Site expressly requests it and explains how it is handled (examples: account passwords, full Social Security numbers, or sensitive authentication secrets). 9. Prohibited Uses You agree not to: - Use the Site for unlawful, fraudulent, misleading, or harmful purposes; - Attempt to gain unauthorized access to the Site, accounts, systems, or networks; - Interfere with or disrupt Site operations, including via scraping, bots, or excessive automated requests (except as explicitly permitted); - Reverse engineer, decompile, or attempt to extract source code (except where prohibited by law); - Upload malware, harmful code, or content that violates others' rights; - Misrepresent affiliation with Plan It Fi or misuse our trademarks. We may investigate and take action (including suspension/termination) for suspected violations. 10. Third-Party Providers and Recommendations From time to time we may reference, recommend, or facilitate access to third-party vendors or service providers ("Providers"). We do not control Providers and disclaim any warranties regarding their products/services. Your engagement with any Provider is solely between you and the Provider and is governed by your agreement with them. LIMITATION (Third-Party Providers). TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAKE SPEND GROW IS NOT LIABLE FOR ANY LOSS OR DAMAGE (INCLUDING INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE) ARISING FROM OR RELATED TO YOUR DEALINGS WITH PROVIDERS. 11. Links to Third-Party Websites The Site may include links to third-party websites or services. We do not endorse and are not responsible for third-party content, availability, policies, or practices. LIMITATION (Third-Party Links). MAKE SPEND GROW IS NOT LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY DAMAGE OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH YOUR USE OF OR RELIANCE ON THIRD-PARTY CONTENT, GOODS, OR SERVICES. Your use of third-party sites is subject to their terms and policies. 12. Disclaimers THE SITE, TOOLS, FEEDBACK (IF ANY), AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, MAKE SPEND GROW DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT: - THE SITE OR TOOLS WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE; - THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; - DEFECTS WILL BE CORRECTED; OR - THE SITE OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. 13. Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MAKE SPEND GROW (OR ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, TOOLS, OR CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, MAKE SPEND GROW'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR, IF GREATER, THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (WHICH MAY BE $0 IF THE SERVICE IS FREE). Some jurisdictions do not allow certain limitations; in that case, liability is limited to the maximum extent permitted by law. 14. Indemnification You agree to defend, indemnify, and hold harmless Make Spend Grow and its affiliates and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your User Data; or (d) your violation of any rights of another. 15. Termination We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including suspected violation of these Terms. Upon termination, sections that by their nature should survive (including IP, disclaimers, limitation of liability, indemnification, and governing law) will survive. 16. Changes to the Site or Terms We may modify the Site or these Terms at any time. Changes are effective when posted on the Site (or as otherwise indicated). Your continued use after changes become effective constitutes acceptance of the updated Terms. 17. Geographic Restrictions The Site is intended for users located in the United States. If you access the Site from outside the U.S., you do so at your own risk and are responsible for compliance with local laws. 18. Governing Law; Venue These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any legal action, suit, or proceeding arising out of or relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Sacramento County, California, and you consent to the personal jurisdiction and venue of such courts. 19.
